Mount Saint Vincent University is governed using a bi-cameral governance structure consisting of the Board of Governors and the Senate. The Board of Governors is charged with governance, conduct, management and control of the University; the Senate is responsible for the academic policy of the University.

As stipulated by the Mount’s “University Charter“, the Board of Governors consists of the Chancellor, President, Vice-President Academic, Vice-President Administration, and members representing the Sisters of Charity, Government, faculty, students, alumnae, and the external community (Community at Large).

Board members “selected by and from” their specific constituency are appointed to the Board for a term specified by their constituency. Members from the Community at Large are appointed to the Board of Governors, through the Nominating Committee, for a three-year term. The Board may extend an invitation for reappointment for one additional three-year term to members from the “Community at Large” if there is mutual interest.

The “Board By-Laws“, developed in conjunction with the University Charter, provide the framework in which the Board of Governors works to help ensure the viability of the University. The Board governs, conducts, manages and controls the University and its property, revenues, expenditures, business and affairs; these are among the Board’s commitment and key responsibilities to the University.

To ensure Board meeting time is utilized efficiently and effectively, a consent agenda (a meeting practice that packages routine committee reports, Board meeting minutes, and other non-controversial items not requiring discussion or independent action as one agenda item) is used.

Consent Agenda items are identified on the Master Agenda with a “C”; these items are received for information or approved using a single motion. Items marked “M” are included on the Meeting Agenda for discussion and/or approval at the meeting. Board members are provided with the opportunity to move any item from the Consent Agenda to the Meeting Agenda; once this happens, all items remaining on the Consent Agenda are received for information or approved by the Board using a single motion.

Board of Governors’ meetings are typically scheduled September, November, February, April and June (Annual Meeting). Meeting agendas are developed using a Macro Agenda approach; the Macro Agenda outlines the workload of the Board for the full year, evenly distributed over the Board meetings for the year (see dates listed below):
